Terms and Conditions

1. Scope of Application
These General Terms and Conditions (GTC) apply to all contracts between Marsstein GmbH, Bücklestraße 3, 78467 Konstanz, Germany (hereinafter "Marsstein") and the customer (hereinafter "Customer") regarding the use of the Marsstein compliance automation platform (hereinafter "Platform").
Conflicting or deviating terms of the Customer shall not apply unless Marsstein has expressly agreed to them in writing.
2. Service Description
Marsstein provides an AI-powered compliance automation platform as a Software-as-a-Service (SaaS) solution. The Platform assists with compliance management, currently focused on GDPR, with additional frameworks planned.
The specific scope of services depends on the selected pricing plan. Marsstein reserves the right to improve and update the Platform's features, provided that the core functionality of the selected plan is maintained.
3. Registration and Account
To use the Platform, the Customer must create an account with accurate and complete information. The Customer is responsible for maintaining the confidentiality of their login credentials and for all activities under their account.
The Customer must immediately notify Marsstein of any unauthorized use of their account.
4. Pricing and Payment
Fees are based on the selected pricing plan. Invoices are issued monthly in advance and are payable within 14 days of the invoice date.
All prices are net prices; statutory value-added tax (VAT) will be added where applicable. Marsstein reserves the right to adjust prices with at least 30 days' prior written notice.
5. Term and Termination
The minimum contract term is one month. The subscription renews automatically for successive one-month periods unless terminated with at least 14 days' notice before the end of the current billing period.
Either party may terminate the contract for cause without notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days of written notice.
6. Intellectual Property
The Platform, including all software, documentation, and content, is the intellectual property of Marsstein and is protected by copyright and other intellectual property laws.
The Customer retains full ownership of all data uploaded to and generated through the Platform. Marsstein does not claim any rights to the Customer's data.
7. Warranty
Marsstein warrants that the Platform will perform substantially in accordance with the applicable service description. Marsstein does not warrant that the Platform will be uninterrupted, error-free, or meet all of the Customer's requirements.
AI-generated compliance documents are provided as drafts and recommendations. The Customer is responsible for reviewing and validating all outputs for their specific regulatory context.
8. Limitation of Liability
Marsstein's liability is limited to intent and gross negligence. In cases of breach of material contractual obligations (cardinal obligations), Marsstein shall also be liable for slight negligence, limited to the foreseeable, contract-typical damage.
The above limitations do not apply to liability for damages arising from injury to life, body, or health, or under mandatory statutory provisions.
9. Data Protection
Marsstein processes personal data in accordance with the applicable data protection laws, in particular the GDPR. Details are set out in our Privacy Policy.
Where Marsstein processes personal data on behalf of the Customer, a separate Data Processing Agreement (DPA) shall be concluded.
10. Changes to Terms
Marsstein may amend these GTC with at least 30 days' prior written notice. The amended terms shall be deemed accepted if the Customer does not object in writing within 30 days of receipt of the notification. Marsstein will specifically inform the Customer of this consequence in the notification.
11. Governing Law and Jurisdiction
These GTC are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is Konstanz, Germany, insofar as the Customer is a merchant, a legal entity under public law, or a special fund under public law.
